Terms & Conditions

These Terms & Conditions apply to the use of Top Sales Archive and to all memberships purchased through the website. By creating an account or purchasing a membership, you agree to these Terms & Conditions.

Please read them carefully before purchasing a membership. If you do not agree with these Terms, you should not create a paid membership account or use the members-only services.

1. About Top Sales Archive

Top Sales Archive is operated by Jacqueline Male, trading as Real Online Impact, based in the United Kingdom.

Top Sales Archive provides members with online access to a curated collection of past and current articles from Top Sales Magazine, together with search, browsing and AI-assisted features designed to help members find and explore relevant sales information.

New articles from Top Sales Magazine will be added to the Archive each month, following publication of the magazine, helping to ensure that the Archive remains current as well as providing access to past content.

2. Membership

A paid membership gives you access to the content and features included in the membership level you purchase for the duration of your active subscription.

Individual and Team Memberships

An Individual Membership is for the use of one named member only. Your username and password may not be shared with another person.

Where a Team Membership has been purchased, access is limited to the number of user seats included in that membership. Each seat is for the individual use of an authorised team member and login details may not be shared between users.

The purchaser or nominated administrator of a Team Membership may allocate available seats to members of their organisation in accordance with the membership purchased.

You are responsible for keeping your login details secure and for activity carried out through your account. Please contact us promptly if you believe your account or password has been used without your permission.

We reserve the right to suspend or restrict an account where we reasonably believe that login details are being shared, the account is being misused, or these Terms & Conditions are being breached.

3. Using the Archive

Your membership gives you a personal, limited, non-exclusive and non-transferable right to view and use Top Sales Archive for your own individual professional development and information.

Membership does not transfer ownership of any content or intellectual property rights to you.

Use of the Archive must be lawful and reasonable. You must not attempt to interfere with the operation or security of the website, circumvent membership or usage restrictions, gain unauthorised access to restricted areas, or use automated methods to extract content or data from the Archive.

Further restrictions relating specifically to copyright, copying, printing, redistribution and use of Archive content are set out in the Copyright and Intellectual Property section below.

4. Copyright and Intellectual Property

All content made available through Top Sales Archive is protected by copyright and other intellectual property rights.

Copyright in individual articles remains with the relevant author and/or other rights holder. Copyright and other intellectual property rights in Top Sales Archive, including its compilation, organisation, design, branding and original material, belong to Top Sales Archive or the relevant rights holder.

Your membership gives you a personal, limited, non-exclusive and non-transferable right to view Archive content online for your own individual use only. Membership does not transfer ownership of, or any intellectual property rights in, the Archive or its contents.

Except where expressly permitted by applicable law or where you have obtained prior written permission from us or the relevant copyright owner, you must not:

  • print, download, copy or otherwise reproduce Archive articles or other protected content;
  • republish, distribute, transmit, forward or share Archive content with another person;
  • upload or reproduce Archive content on another website, intranet, document, database, publication or other service;
  • sell, license or otherwise commercially exploit Archive content;
  • access, extract, scrape, harvest or collect Archive content using RSS feeds, APIs, bots, crawlers, scripts, scraping tools or other automated means, or otherwise make bulk copies of Archive content;
  • use Archive content to create or populate another archive, database, knowledge base or similar collection;
  • submit, upload or otherwise provide Archive articles or substantial extracts to another artificial intelligence system, large language model, training dataset or AI knowledge base; or
  • remove or alter any copyright, authorship or attribution notice.

Access to Top Sales Archive is provided for online viewing by the individual member. Access under a Team Membership allows authorised seat holders to view Archive content individually. It does not grant permission to copy, print, reproduce, circulate or distribute Archive articles to other employees, colleagues, clients or anyone who does not hold an authorised seat.

Limited use of copyright material may be permitted by law in certain circumstances. Nothing in these Terms is intended to restrict any rights that cannot lawfully be excluded.

5. Membership Fees, Payments and Renewal

Membership fees are shown on the Top Sales Archive website at the time you purchase your membership. Prices and payment options may vary depending on the membership plan selected.

We currently offer:

  • Individual Memberships with monthly or annual payment options; and
  • Team Memberships with monthly or annual payment options, covering the number of user seats specified at the time of purchase.

Payment is processed securely through PayPal. By purchasing a membership, you authorise PayPal to collect the applicable membership fee on our behalf in accordance with the payment schedule you select.

Currency
All membership prices are shown and charged in US dollars (USD) unless otherwise stated. If your PayPal account or payment method uses another currency, PayPal may apply its own currency conversion rate or associated charges.

Automatic renewal

Unless cancelled, monthly memberships automatically renew each month and annual memberships automatically renew each year using the payment method associated with your PayPal subscription.

The price, billing frequency and any introductory offer applicable to your membership will be shown clearly before you complete your purchase.

Introductory launch offers

From time to time, Top Sales Archive may offer introductory or promotional membership rates.

Where a monthly membership is purchased under our launch offer, the introductory monthly rate will apply for the first six months. After that period, the membership will continue at the standard monthly rate displayed when you joined, unless you cancel before the next payment is due.

Where an annual membership is purchased under our launch offer, the introductory annual rate will apply to the first year. Unless cancelled, the membership will subsequently renew at the standard annual rate displayed when you joined.

The same principles apply to qualifying Team Memberships.

Details of any introductory price, the period for which it applies and the standard price that will apply afterwards will be clearly shown before purchase.

Failed payments

If a scheduled membership payment fails or is declined, access to paid membership services may be suspended while payment remains outstanding.

Where reasonably possible, you will be given an opportunity to resolve the payment issue before membership access is terminated.

Changes to membership prices

We may change the price of memberships from time to time.

Any change to the price of an existing recurring membership will not take effect without reasonable advance notice. Where a price change affects your future renewal, we will tell you before the new price is charged and explain when it will take effect.

You will always have the opportunity to cancel your membership before a changed renewal price becomes payable.

6. Cancellation and Refunds

You may cancel your Top Sales Archive membership at any time.

If you cancel a monthly membership, no further monthly payments will be taken after the cancellation has taken effect. Unless a refund or statutory cancellation right applies, you will normally continue to have access to the Archive until the end of the monthly period for which you have already paid.

If you cancel an annual membership, no further annual renewal payment will be taken. Unless a refund or statutory cancellation right applies, you will normally continue to have access until the end of the annual membership period for which you have already paid.

The same cancellation principles apply to Individual and Team Memberships.

Cancellation does not normally entitle you to a refund for a membership period that has already been supplied, except where our Refund & Cancellation Policy provides otherwise or where you have a right to a refund under applicable law.

Your statutory cancellation rights

If you are purchasing as a consumer, you may have statutory cancellation and refund rights, including rights that apply to online purchases and digital services.

Where you ask us to provide access to Top Sales Archive immediately after purchase, this may affect the amount refundable if you subsequently exercise a statutory cancellation right. We will provide any information, consent requests and acknowledgements required by applicable law before your purchase is completed.

Nothing in these Terms & Conditions or our Refund & Cancellation Policy affects any consumer rights that cannot legally be excluded or restricted.

7. Archive AI Assistant

Top Sales Archive includes access to an AI-powered Archive Assistant designed to help members explore the Archive, identify relevant articles and obtain information and guidance based on Archive content.

The Archive AI Assistant uses artificial intelligence to generate its responses. While we aim to provide useful and relevant information, AI-generated responses may occasionally contain errors, omissions or interpretations that are incomplete or inaccurate.

Information provided by the Archive AI Assistant is intended for general information, professional development and research purposes only. It should not be relied upon as legal, financial, tax, medical or other regulated professional advice, nor as a substitute for your own professional judgement.

You should not submit sensitive personal information, confidential business information, customer information or other commercially sensitive material when using the Archive AI Assistant.

Usage allowance

Access to the Archive AI Assistant is subject to the usage allowance included with your membership.

Usage may be measured by the amount of AI processing used rather than by a fixed number of questions. The number of questions available within an allowance can therefore vary depending on the length and complexity of individual questions and responses.

Where we describe an allowance as being typically sufficient for a particular number of questions, this is an estimate rather than a guarantee.

We may introduce or adjust reasonable usage limits where necessary to maintain the availability, performance and cost-effectiveness of the service. Where a material change affects an existing paid membership, we will provide reasonable notice.

You must not attempt to circumvent usage limits, create multiple accounts to obtain additional allowances, automate large numbers of requests, or otherwise use the Archive AI Assistant in a way that places an unreasonable burden on the service.

AI responses and Archive content

The Archive AI Assistant may summarise, interpret or refer you to material contained within Top Sales Archive.

Use of the Archive AI Assistant does not grant you any additional copyright or intellectual property rights in Archive articles or other protected material. The copyright and usage restrictions set out elsewhere in these Terms & Conditions continue to apply.

8. Availability and Changes to the Service

We aim to keep Top Sales Archive and its member services available and working reliably. However, access may occasionally be interrupted for maintenance, updates, technical issues, security reasons or circumstances outside our reasonable control.

We do not guarantee that the website, Archive content or AI-powered features will be available without interruption at all times.

We may update, improve, replace or change parts of the service from time to time, including website features, search tools, membership functionality and AI services, where this is reasonably necessary to maintain or improve the Archive.

We will not make material changes that substantially reduce the core benefits of an existing paid membership without providing reasonable notice.

Where a significant interruption or change materially affects your access to a paid service, we will act reasonably in considering an appropriate remedy. This may include extending your membership or providing a complimentary period of access rather than a cash refund, where appropriate.

Nothing in this section affects any statutory rights you may have under applicable law.

9. Suspension or Termination of Accounts

We may suspend, restrict or terminate access to Top Sales Archive where there are reasonable grounds to believe that:

  • membership login details are being shared or used by people who do not hold an authorised membership or Team Membership seat;
  • Archive content is being copied, printed, downloaded, redistributed, scraped or otherwise used in breach of these Terms;
  • an attempt has been made to bypass membership restrictions, AI usage allowances or other security measures;
  • the Archive AI Assistant or other website services are being used in an automated, abusive, unlawful or deliberately disruptive manner;
  • payment for a membership remains outstanding; or
  • there has been another serious or repeated breach of these Terms & Conditions.

Where appropriate, we will contact you and give you a reasonable opportunity to resolve the issue before suspending or terminating your membership.

We may take immediate action where this is reasonably necessary to protect the security of the website, our intellectual property, the rights of our authors or other users, or to prevent serious misuse of the service.

If we terminate a paid membership for reasons unrelated to any breach or misuse by you, we will act reasonably in providing an appropriate refund, membership extension or other remedy for any paid period you are unable to use.

Nothing in this section affects any statutory rights you may have under applicable law.

10. Limitation of Liability

We take reasonable care in operating Top Sales Archive and providing the services included with membership. However, we cannot guarantee that all information contained within the Archive or provided through the Archive AI Assistant will always be complete, current or free from error.

Top Sales Archive is provided primarily as an information, research and professional development resource. Decisions you make based on Archive content or AI-generated responses remain your responsibility.

We are not responsible for losses arising from circumstances outside our reasonable control, or for losses that could not reasonably have been foreseen when you entered into your membership agreement.

Nothing in these Terms excludes or limits any liability that cannot legally be excluded or limited, including liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any statutory rights that apply to you.

If you use Top Sales Archive for business purposes, we are not responsible for indirect or consequential business losses, including loss of profits, revenue, business opportunities or anticipated savings, except where the law requires otherwise.

11. Your Statutory and Consumer Rights

Nothing in these Terms & Conditions affects any rights you may have under applicable consumer protection law.

If you are purchasing membership as an individual consumer, you may have rights relating to the quality and performance of digital content and services, cancellation, refunds and remedies where a service is not provided as described or with reasonable care and skill.

These rights vary depending on where you live. Top Sales Archive does not seek to exclude or restrict any rights that cannot lawfully be excluded or restricted.

If there is any conflict between these Terms & Conditions and a mandatory consumer protection law that applies to you, the applicable law will take priority.

12. Changes to these Terms & Conditions

We may update these Terms & Conditions from time to time to reflect changes to Top Sales Archive, membership features, pricing, technology, legal requirements or the way our services are provided.

Where a change is minor or does not materially affect your membership, the revised Terms will be published on this website and the “Last updated” date will be changed accordingly.

If we make a significant change that materially affects the benefits, cost or conditions of an existing paid membership, we will take reasonable steps to notify affected members in advance.

Any change to membership fees will be communicated before it takes effect and will not be applied retrospectively to a period for which you have already paid.

If you continue to use Top Sales Archive after updated Terms take effect, the updated Terms will apply from that date, subject always to any statutory rights you may have under applicable law.

13. Governing Law and Jurisdiction

These Terms & Conditions and your membership of Top Sales Archive are governed by the laws of England and Wales.

If you are a consumer living outside England and Wales, you may also benefit from mandatory rights and protections under the laws of the country or region in which you live. Nothing in these Terms is intended to remove or restrict those rights.

Any dispute arising from these Terms or your membership will be subject to the jurisdiction of the courts of England and Wales, except where applicable consumer law gives you the right to bring proceedings in another court or jurisdiction.

That final qualification is important because you expect members in the USA, Canada and elsewhere. I would not use an absolute clause saying that every member must bring any dispute only in an English court. UK consumer-contract guidance cautions against terms that unfairly prevent consumers from using courts available to them under applicable law.
